These Terms of Service (“Terms”) govern access to and use of the website hemitonglobal.com (the “Site”) and the payroll outsourcing, Employer of Record (EOR), compliance, and related human resource services (the “Services”) provided by Hemiton Global (“Hemiton Global”, “we”, “us”, or “our”). By accessing the Site or engaging our Services, you (“Client”, “User”, or “you”) agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
1. Overview of Services
Hemiton Global provides payroll outsourcing, Employer of Record, statutory compliance, and workforce administration services to businesses operating in India and across international markets, including but not limited to the United Arab Emirates, Saudi Arabia, Qatar, Kuwait, Bahrain, Oman, and Vietnam. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate service agreement, statement of work, or order form (“Service Agreement”) executed between the Client and Hemiton Global. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement will govern with respect to that engagement.
2. Eligibility and Account Registration
The Site and Services are intended for use by businesses, HR professionals, and authorized representatives acting on behalf of an organization. By using the Site or Services, you represent that you are at least 18 years of age and have the authority to bind the organization you represent to these Terms.
Where an account or client portal is provided, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Hemiton Global promptly of any unauthorized use of your account.
3. Use of the Site
You agree to use the Site only for lawful purposes and in accordance with these Terms. You will not:
- Use the Site in any way that violates applicable local, national, or international law or regulation;
- Attempt to gain unauthorized access to any portion of the Site, related systems, or networks;
- Introduce viruses, malware, or other harmful code, or interfere with the proper functioning of the Site;
- Scrape, copy, or reproduce Site content for commercial purposes without prior written consent;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
4. Client Data and Confidentiality
In the course of providing Services, Hemiton Global may receive, process, or store payroll data, employee personal information, and other confidential business information (“Client Data”) on behalf of the Client. Hemiton Global will:
- Use Client Data only for the purpose of delivering the Services and as otherwise permitted by the applicable Service Agreement;
- Maintain reasonable administrative, technical, and physical safeguards designed to protect Client Data;
- Not disclose Client Data to third parties except as required to deliver the Services, as required by law, or with the Client’s consent.
Handling of personal data of employees processed through our EOR and payroll services is further described in our Privacy Policy, which forms part of these Terms by reference. Where required by applicable data protection law in a given jurisdiction, Hemiton Global will enter into a separate data processing agreement with the Client.
5. Fees and Payment
Fees for Services are set out in the applicable Service Agreement or invoice. Unless otherwise agreed in writing:
- Invoices are payable within the timeframe specified on the invoice;
- Late payments may accrue interest or result in suspension of Services, subject to prior notice;
- All fees are exclusive of applicable taxes, duties, or statutory levies unless expressly stated otherwise;
- Payroll disbursement amounts, statutory contributions, and related pass-through costs are the responsibility of the Client and are separate from ${COMPANY}’s service fees.
6. Client Responsibilities
The accuracy and timeliness of the Services depend on information provided by the Client. The Client agrees to:
- Provide accurate, complete, and timely employee, payroll, and statutory information;
- Promptly notify ${COMPANY} of any changes affecting payroll, compliance, or employment status;
- Comply with applicable labour laws and statutory obligations in its own jurisdiction, in coordination with ${COMPANY} where the Services are designed to support such compliance.
Hemiton Global is not responsible for errors, delays, or compliance failures arising from inaccurate, incomplete, or late information provided by the Client.
7. Intellectual Property
All content on the Site, including text, graphics, logos, tools, templates, and software (excluding Client Data), is the property of Hemiton Global or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants the Client any right to use Hemiton Global’s trademarks, trade names, or branding without prior written consent.
8. Third-Party Links and Services
The Site may contain links to third-party websites, payroll software, HRMS platforms (such as Keka), or tools that are not owned or controlled by Hemiton Global. We are not responsible for the content, accuracy, or practices of any third-party site or service, and inclusion of a link does not imply endorsement.
9. Disclaimers
The Site and any general content, guides, or blog material published on it are provided for informational purposes only and do not constitute legal, tax, or professional advice. While Hemiton Global aims to keep information relating to labour law, statutory compliance, and payroll practices accurate and current, laws vary by jurisdiction and change over time; Clients should seek independent professional advice specific to their circumstances.
Except as expressly set out in a Service Agreement, the Site and Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Hemiton Global will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Site or Services. Hemiton Global’s total aggregate liability arising out of or relating to a Service Agreement will not exceed the fees paid by the Client to Hemiton Global for the Services giving rise to the claim in the twelve (12) months preceding the event, except where such limitation is not permitted by applicable law.
11. Indemnification
The Client agrees to indemnify and hold harmless Hemiton Global, its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of the Client’s breach of these Terms, violation of applicable law, or provision of inaccurate information to Hemiton Global.
12. Termination
Hemiton Global may suspend or terminate access to the Site at its discretion, including for suspected violation of these Terms. Termination of Services under a Service Agreement will be governed by the termination provisions in that agreement. Provisions of these Terms that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will survive.
13. Changes to These Terms
Hemiton Global may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Updated Terms will be posted on the Site with a revised effective date. Continued use of the Site or Services after changes take effect constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of India, without regard to conflict of law principles, unless otherwise specified in a Service Agreement applicable to a Client in another jurisdiction. Any disputes arising out of or relating to these Terms or the Services will first be addressed through good-faith negotiation between the parties, and if unresolved, may be referred to arbitration or the courts of competent jurisdiction as specified in the applicable Service Agreement.
